Terms of Service
These terms govern your access to and use of Gudsle, a freight-logistics marketplace operated by RIZQOM PRIVATE LIMITED.

1. Acceptance & eligibility
By registering for, accessing, or using Gudsle (the “Platform”) — the website at gudsle.com, our mobile applications, and related services — you agree to be bound by these Terms of Service (“Terms”) and by our Privacy Policy and Refund & Cancellation Policy, which are incorporated by reference.
You must be at least 18 years old and competent to contract under the Indian Contract Act, 1872. If you use the Platform on behalf of a business, you represent that you are authorised to bind that business. The Platform is intended for commercial freight-logistics use in India.
2. Definitions
- “Company”, “Gudsle”, “we”, “us” means RIZQOM PRIVATE LIMITED, the operator of the Platform.
- “Shipper” / “Customer” means a user who posts or books a consignment for transport.
- “Transporter” means an independent fleet owner or carrier who accepts bookings and performs (through drivers) the transport of goods. The Transporter is the carrier.
- “Driver” means a person engaged by a Transporter to physically carry out a trip.
- “Consignee” means the recipient of a consignment at the delivery location.
- “Booking” means an instant or scheduled transport order; “Load Post” and “Bid” refer to the request-for-bids flow.
- “POD” means proof of delivery; “LR” means the lorry receipt / consignment note.
3. Nature of the Platform — intermediary, not carrier
Gudsle is an “intermediary” within the meaning of Section 2(1)(w) of the Information Technology Act, 2000, and operates in accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and the Consumer Protection (E-Commerce) Rules, 2020, as a marketplace e-commerce entity.
Our role is limited to providing the technology that enables Shippers and Transporters to discover each other, agree commercial terms, and transact. The transport of goods is performed solely by the Transporter and its Driver. Gudsle is not a party to the contract of carriage, is not a common carrier under the Carriage by Road Act, 2007, and does not guarantee the performance, conduct, availability, safety, timeliness, or legal compliance of any Shipper, Transporter, Driver, or Consignee.
4. Accounts, registration & KYC verification
You register using your mobile number and a one-time password (OTP). You are responsible for the accuracy of your information and for all activity under your account. Transporters and Drivers must provide identity and business documents (which may include PAN, Aadhaar, GSTIN, driving licence, vehicle registration, insurance, fitness and permit documents) and, to receive payouts, must complete Razorpay Route linked-account KYC (PAN, bank account, and penny-drop verification).
We may verify, request re-submission of, reject, restrict, suspend, or delete any account or document at our discretion where information is incomplete, inaccurate, expired, or fails verification. A Transporter whose documents are not verified cannot accept bookings.
5. Roles & responsibilities
- Shipper: provide accurate consignment details (goods type, weight, value, pickup/drop, consignee); ensure the goods are lawful and correctly described; generate the e-way bill where required; and pay the agreed fare, advance, and platform fee.
- Transporter (carrier): hold and maintain all valid vehicle documents, permits, fitness, and insurance; provide roadworthy vehicles and competent drivers; carry the goods safely and lawfully; capture POD; and bear sole responsibility and liability for loss, damage, shortage, pilferage, theft, delay, or non-delivery of the consignment, as the carrier under the Carriage by Road Act, 2007 and applicable law.
- Driver: perform the trip, follow traffic and transport laws, update trip status, and capture accurate POD at delivery.
- Consignee: verify and accept the consignment, including via the delivery OTP.
6. Bookings, load posts, bids & the transport contract
A Shipper may post a Load Post to receive Bids from Transporters. When a Booking is confirmed or a Bid accepted, a binding contract of carriage is formed directly between the Shipper and the Transporter. Gudsle facilitates the discovery, order record, LR generation, and payment collection, but is not a contracting carrier and assumes no obligations of carriage.
7. Fares, platform fee, commission & taxes
- Fare is calculated from the vehicle type’s base fare plus a per-kilometre rate over the road distance, and is agreed between Shipper and Transporter.
- Platform fee (payable by the Shipper): 3% of the fare, subject to a minimum of ₹10 and a maximum of ₹600 per booking, plus 18% GST on that fee, collected with your payment.
- Commission (payable by the Transporter, deducted at payout): 6% on the FREE plan, reduced to 5% on PRO. The commission is inclusive of GST.
- PRO subscriptions are billed via Razorpay Subscriptions (e.g. ₹99/vehicle/month for Transporters; ₹499/month for Customer PRO); see pricing.
- Taxes: Gudsle charges and remits GST only on its own supplies — the platform fee (18%, collected from the Shipper) and the commission (18%, included in the commission), both under SAC 9985. GST on the freight (GTA, SAC 9965) is not collected by Gudsle: depending on the parties it is payable by the recipient under reverse charge, is exempt, or is the Transporter’s own forward-charge liability, and the freight document shows the applicable treatment. We collect Tax Collected at Source (TCS) of 1% on eligible Transporter supplies under Section 52 of the CGST Act, 2017 (not applied to supplies taxed under reverse charge or that are exempt). As an e-commerce operator, Gudsle deducts income-tax TDS on the Transporter’s payout under Section 194-O at the applicable rate and deposits it with the tax authorities.
- For most bookings the Shipper pays a 20% advance plus the platform fee and its GST up front online, with the balance paid online on completion or as cash on delivery (COD).
- Contract customers: a Transporter may offer approved customers agreed credit terms (e.g. Net 15–60 days) instead of an upfront advance; in that case payment is due by the invoice due date rather than before pickup, and the booking is billed on credit.
8. Payments & settlement
Payments are processed by Razorpay, an RBI-authorised payment aggregator. Gudsle does not itself hold or take custody of your money — your payment is held by the payment aggregator — and Gudsle does not store your card or bank details, which are handled by Razorpay under its PCI-DSS-compliant systems.
- Your advance is held until delivery. When you pay an advance, it is not released to the Transporter straight away. The Transporter’s share is held by the payment aggregator and is released only after the Proof of Delivery (POD) is verified — either when you confirm delivery, or automatically 48 hours after delivery if no dispute is raised. This protects you until the consignment is delivered.
- Balance and cash on delivery. The balance (typically the remaining 80%) is paid after delivery — either online, through a second payment you make once the trip is completed, or as cash on delivery (COD) collected directly by the driver.
- What the Transporter receives.On release, the Transporter is paid the fare net of Gudsle’s commission, applicable TCS, and TDS under Section 194-O. Gudsle retains only its platform fee, commission, and applicable taxes, which settle to Gudsle’s own account. Gudsle only ever moves its own commission — it does not act as a holder of, or an intermediary for, your funds.
- If a booking is cancelled before delivery, any held advance is reversed and refunded to you in accordance with our Refund & Cancellation Policy — a cancelled booking does not pay the Transporter.
9. Cancellations & refunds
Cancellations and refunds are governed by our Refund & Cancellation Policy, which forms part of these Terms. In summary, a Shipper may cancel free of charge before payment or, for scheduled bookings, more than 24 hours before pickup; later cancellations may attract a charge.
10. Proof of delivery, lorry receipt & e-way bill
An LR (consignment note) is generated for each confirmed booking. Delivery is captured through a POD packet (photos, geotag, timestamp, and a consignee OTP). A verified, consignee-accepted POD is the record of delivery in good condition and triggers invoicing and release of payout. The e-way bill, where legally required, must be generated by the Shipper (or, as a fallback, the Transporter) under Rule 138 of the CGST Rules; Gudsle does not generate e-way bills and only carries the number you provide.
11. Prohibited & restricted goods and conduct
You must not use the Platform to arrange transport of, or to engage in:
- goods that are illegal, contraband, smuggled, or prohibited under Indian law;
- hazardous, dangerous, explosive, radioactive, or perishable goods that have not been correctly declared and lawfully handled;
- over-dimensional or over-weight loads without the required permits;
- fraud, misrepresentation, impersonation, or circumvention of the Platform’s fees or payment flow;
- any activity that infringes third-party rights or breaches applicable law.
You are solely responsible for the legality of your consignment and its correct declaration.
12. Verification, ratings, suspension & enforcement
We operate verification gates, a reliability score, ratings, and automated and manual enforcement. We may, without prior notice, limit visibility, suspend, or terminate an account — for example, where a Transporter is unverified, records repeated at-fault cancellations, falls below a reliability threshold, is blacklisted by a customer, breaches these Terms, or where required for safety, fraud prevention, or legal compliance.
13. Intellectual property
The Platform, its software, design, trademarks (including “Gudsle”), and content are owned by or licensed to the Company. You may not copy, modify, reverse-engineer, scrape, or create derivative works without our written consent. You retain rights to content you submit but grant us a licence to use it to operate the Platform.
14. Disclaimers
The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including regarding the conduct or performance of any Transporter, Driver, Shipper, or Consignee, the safety or condition of goods, delivery timelines, and uninterrupted or error-free operation. We do not warrant or guarantee that any consignment will be delivered safely, on time, or at all— that is the Transporter’s responsibility as carrier.
15. No insurance
Gudsle does not provide any goods-in-transit, cargo, or liability insurance. Shippers and Transporters are responsible for arranging their own insurance. Risk of loss or damage to the goods sits with the Transporter as the carrier (and, as between Shipper and Transporter, as they may agree), not with Gudsle.
16. Limitation of liability
To the maximum extent permitted by law, Gudsle shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, goods, revenue, or data, arising out of or relating to your use of the Platform or any transport arranged through it. In particular, we are not liable for loss, damage, delay, shortage, or non-delivery of any consignment, which is the Transporter’s responsibility.
Our total aggregate liability for any and all claims relating to the Platform shall not exceed the higher of (a) ₹1,000 or (b) the total platform fees and commission you actually paid to us in the three (3) months preceding the event giving rise to the claim.
17. Indemnity
You agree to indemnify and hold harmless the Company, its directors, employees, and partners from any claim, loss, liability, or expense (including legal fees) arising from your use of the Platform, your breach of these Terms, your violation of any law, or — in the case of a Transporter or Driver — any claim relating to the carriage, loss, damage, or delay of goods.
18. Grievance redressal
For complaints or grievances, contact our Grievance Officer at support@gudsle.com. Full contact details and timelines are on our Contact & Grievance page. We acknowledge complaints within 48 hours and aim to resolve them within one month, in line with the IT Rules, 2021.
19. Governing law, jurisdiction & arbitration
These Terms are governed by the laws of India. Subject to arbitration below, the courts at Srinagar, Jammu and Kashmir shall have exclusive jurisdiction. Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by the Company, seated at Srinagar, conducted in English. The award shall be final and binding.
20. Suspension & termination
You may stop using the Platform at any time. We may suspend or terminate your access for breach of these Terms, legal or safety reasons, or where required by law. Provisions that by their nature should survive termination (including liability, indemnity, and dispute resolution) will survive.
21. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified through the Platform or by other reasonable means. Your continued use after changes take effect constitutes acceptance.
22. General
If any provision is held unenforceable, the remainder continues in effect. Our failure to enforce a right is not a waiver. We may assign these Terms in connection with a merger, acquisition, or reorganisation. Neither party is liable for delays or failures caused by events beyond its reasonable control (force majeure). These Terms, together with the policies referenced, are the entire agreement between you and the Company regarding the Platform.
